Terms of Service

These Terms of Service ("Terms") govern your use of jhonatanmatias.com (the "Site") and the consulting and technology infrastructure services ("Services") offered by Jhonatan Matias, operating internationally including through DITAP ("Provider", "I", "we"). By browsing the Site, submitting a contact form, booking a call, or purchasing a Service, you ("Client", "you") agree to these Terms. If you do not agree, please do not use the Site or purchase a Service.
01Acceptance & Scope
These Terms apply to all visitors and Clients of the Site and to every engagement purchased through it. Specific engagements may be further detailed in a separate written proposal, statement of work, or order confirmation ("Order"); where an Order and these Terms conflict, the Order prevails for that engagement only. Continued use of the Site or payment for a Service constitutes acceptance of the version of these Terms in effect at that time.
02Description of Services
The Site describes three engagement models, summarized here for reference (full descriptions and current pricing are published on the Services page and may be updated from time to time): • Operational Diagnostic — a fixed-scope, one-time technical and operational audit delivered as a written report. • Operational Acceleration — a fixed-term, hands-on implementation engagement (typically 4–8 weeks), billed monthly for its duration. • Total Infrastructure — an ongoing, month-to-month operating partnership covering infrastructure, systems, and execution support, billed as a recurring monthly subscription until cancelled. The exact deliverables, timeline, and exclusions for a given engagement are confirmed in writing (email or Order) before work begins. Services are professional/consulting in nature — no specific business outcome, revenue figure, or third-party approval is guaranteed unless explicitly stated in writing.
03Pricing & Payment
Prices are shown in EUR (charged via Stripe) or USD (charged via MercadoPago) depending on the gateway you select at checkout; the amount charged is the amount confirmed on the checkout page at the time of purchase. Payments are processed directly by Stripe or MercadoPago under their own terms — we do not store your card or full payment details. • Operational Diagnostic is billed as a one-time payment before delivery. • Operational Acceleration is billed monthly for the agreed engagement length. • Total Infrastructure is billed as a recurring monthly subscription and renews automatically until either party cancels with at least 15 days' written notice before the next billing date. Failure to pay an invoice or recurring charge when due may result in suspension of the Service until payment is received.
04Cancellation & Refunds
• Operational Diagnostic: because delivery typically begins within days of payment, this fee is non-refundable once work has started. If you cancel before any work has started, you are entitled to a full refund. • Operational Acceleration: you may cancel future, unbilled work with at least 7 days' written notice; fees already billed for work performed or in progress are non-refundable, charged on a pro-rata basis for the period worked. • Total Infrastructure: being a month-to-month subscription, you may cancel at any time effective at the end of the current billing period; we do not refund partial months already billed. If we are unable to begin or continue a Service for reasons attributable to us, we will refund any amount paid for work not yet performed.
05Client Obligations
To deliver the Services, we rely on you to: provide timely access to relevant systems, credentials, premises, or personnel; provide accurate information about your infrastructure and business needs; and designate a point of contact authorized to make decisions on your behalf. Delays caused by missing access, information, or approvals on your side may extend timelines and are not attributable to the Provider.
06Intellectual Property
Pre-existing tools, frameworks, methodologies, code libraries, and know-how used by the Provider remain the Provider's property. Upon full payment, the Client receives a non-exclusive, perpetual license to use the specific deliverables (reports, configurations, documentation, custom code) produced for that engagement for the Client's own internal business purposes. The Provider may reference the existence and general nature of an engagement (e.g., as a case study) but will not disclose the Client's confidential information without consent.
07Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with a Service, and to use it only for the purpose of performing or receiving that Service. This obligation survives the end of the engagement and does not apply to information that is or becomes publicly available through no fault of the receiving party.
08Limitation of Liability
Services are provided on a professional best-efforts basis. To the maximum extent permitted by applicable law, the Provider's total liability arising out of or related to a Service is limited to the amount actually paid by the Client for that specific Service in the 3 months preceding the claim. The Provider is not liable for indirect, incidental, or consequential damages, including loss of profits or data, except where such limitation is not permitted by mandatory law (including, where applicable, liability for death, personal injury, or gross negligence).
09Disclaimer of Warranties
The Site and Services are provided "as is" without warranties of any kind, express or implied, except as expressly stated in a written Order. The Provider does not warrant that the Site will be uninterrupted or error-free, or that any specific business, security, or performance outcome will be achieved.
10Governing Law & Disputes
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles, except where mandatory consumer-protection laws of the Client's country of residence apply and grant additional rights. The parties will first attempt to resolve any dispute informally and in good faith; if unresolved within 30 days, the dispute will be submitted to the courts of Italy, unless mandatory law requires a different venue.
11Changes to These Terms
We may update these Terms from time to time; the "Last updated" date above will reflect the latest revision. Changes apply prospectively and do not alter the terms already confirmed in an Order for an engagement already in progress, unless required by law.
